Terms of Service
These terms set out the rights and obligations that apply to the use of the Provscope website and the DPP and CBAM compliance platform.
Parties and scope
These terms of service (the “Terms”) govern the use of the provscope.com website and the Provscope platform at app.provscope.com (the “Platform”) provided by Provscope Yazılım Ltd. Şti. (Provscope Software Ltd.) (“Provscope”). By using the website or the Platform, you accept these Terms. If you use the Platform on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.
Access to the Platform is provided under a separate order form or service agreement concluded between Provscope and the customer. In the event of a conflict between an order form or customer agreement and these Terms, the order form or customer agreement prevails.
Description of the service
Provscope is a software-as-a-service (SaaS) platform for compliance with the EU Digital Product Passport (DPP) and the Carbon Border Adjustment Mechanism (CBAM). The Platform supports collecting supply-chain data from suppliers, verifying that data against evidence documents and publishing product passports. The scope of the service, number of users, fees and term are set out in the order form or customer agreement.
Provscope may change features of the Platform from time to time in order to improve it. Such changes will not materially reduce the core functionality committed to in the customer agreement.
Accounts and user responsibilities
- You are responsible for keeping your account information accurate and up to date.
- You are responsible for keeping your username, password and other login credentials confidential. You must not share your login credentials with others.
- If you notice any unauthorised use of your account, you must notify baris@provscope.com without delay.
- The customer is responsible for the permissions it grants to its users and to the suppliers it invites, and for their actions on the Platform.
Acceptable use
When using the website and the Platform, you agree not to:
- upload or share content that is unlawful, infringes the rights of third parties, or is misleading or harmful
- attempt to gain unauthorised access to the Platform or to other users’ accounts or data
- take any action that impairs the security, integrity or performance of the Platform, distribute malware or send automated requests that create excessive load
- reverse engineer, decompile or disassemble the Platform’s software (this restriction does not apply to the extent expressly permitted by mandatory law)
- use the Platform to develop a competing product or make it available to third parties in a way not permitted by the customer agreement
Customer data and ownership
All rights in the product, material, supplier and emissions data and evidence documents uploaded to the Platform by the customer and its suppliers (“Customer Data”) remain with the customer. The customer grants Provscope a limited, non-exclusive and non-transferable licence to use Customer Data only to the extent necessary to provide, maintain and secure the service. Provscope does not use Customer Data for any other purpose.
For personal data contained in Customer Data, the customer generally acts as the data controller and Provscope as the data processor. The customer warrants that it has obtained the data it uploads to the Platform lawfully and has provided any required notices. After the contract ends, Customer Data is deleted or returned to the customer within 90 days, unless the law requires a longer retention period.
Confidentiality and trade secrets
Supply-chain data often contains information that constitutes trade secrets (for example, supplier identities, recipes and material compositions). The Platform grants access to data on a layered access basis: each user and supplier sees only the information they are authorised to see. Provscope does not disclose confidential supplier or recipe data to third parties, except as the customer configures through its settings and sharing choices on the Platform or where legally required.
Each party uses confidential information of the other party that it learns in the course of the service relationship only for the purposes of that relationship and keeps it confidential.
Intellectual property
All intellectual property rights in the Platform, the website and their software, design, text and other content belong to Provscope or its licensors. These Terms or the customer agreement permit the use of the Platform during the term of the agreement; they do not transfer any other rights.
Not regulatory advice
The Platform and the content on the website (including regulatory timelines, guides and explanations) are provided for information and as tooling to support compliance processes; they do not replace legal or regulatory advice. The user remains solely responsible for final declarations and filings, including CBAM declarations, the accuracy of product passport data and any other declarations and notifications made to competent authorities. We recommend that you obtain professional legal or regulatory advice for your specific situation.
Limitation of liability
To the maximum extent permitted by applicable law:
- Provscope is not liable for indirect or consequential damages such as loss of profit, loss of revenue, loss of data, loss of reputation or business interruption.
- Provscope’s total liability in connection with the service is limited to the fees actually paid by the customer to Provscope in the 12 months preceding the event giving rise to the claim.
Liability for wilful misconduct or gross negligence, and any other liability that cannot be limited by law, is excluded from this limitation.
Suspension and termination
Provscope may temporarily suspend access to an account, in proportion to the nature of the breach or risk, in the event of a breach of these Terms or the customer agreement, a situation that threatens the security of the Platform, or a legal requirement. Where possible, Provscope notifies the customer in advance and restores access once the issue is resolved.
The term, renewal and termination of the service relationship are governed by the customer agreement. When the agreement ends, the right to access the Platform ends, and Customer Data is deleted or returned as described above.
Personal data
Information on the processing of personal data is set out in our privacy policy, our personal data protection notice and our cookie policy.
Changes to these Terms
Provscope may update these Terms from time to time. The current version is published on this page, and the date at the end of the page shows when it was last updated. Where appropriate, material changes are notified to platform users a reasonable time in advance. Continuing to use the service after a change means that you accept the updated Terms.
Governing law and jurisdiction
These Terms are governed by the laws of the Republic of Türkiye. The courts and enforcement offices of Ankara have jurisdiction over any disputes arising from these Terms.
